Terms of Service for Prezia Brothers Website

User Content You retain ownership of all content that you upload, post, or otherwise make available on the Site or Service ("User Content"), but you grant Prezia Brothers a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media.

You agree not to upload, post, or otherwise make available any User Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

  1. Disclaimer of Warranties The Site and Service are provided on an "as is" and "as available" basis. Prezia Brothers makes no representations or warranties of any kind, express or implied, as to the operation of the Site or Service or the information, content, materials, or products included on the Site or Service. To the fullest extent permissible by applicable law, Prezia Brothers disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

  2. Limitation of Liability In no event shall Prezia Brothers or its affiliates, licensors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Site or Service, whether or not Prezia Brothers has been advised of the possibility of such damages.

  3. Indemnification You agree to indemnify, defend, and hold harmless Prezia Brothers, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement or your use of the Site or Service.

  4. Termination Prezia Brothers may terminate this Agreement and your access to the Site and Service at any time, without notice, for any reason, including without limitation, if you breach any of the terms of this Agreement. Upon termination, you must immediately cease all use of the Site and Service.

  5. Governing Law and Jurisdiction This Agreement shall be governed by and 

    construed in accordance with the laws of the Province of Alberta, Canada, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising out of or relating to this Agreement or your use of the Site or Service shall be brought exclusively in the courts of Calgary, Alberta, Canada, and you irrevocably consent to the jurisdiction of such courts.

    1. Changes to Terms of Service Prezia Brothers reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Site or Service after any such changes constitutes your acceptance of the new terms.

    2. Miscellaneous This Agreement constitutes the entire agreement between you and Prezia Brothers regarding the use of the Site and Service. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Prezia Brothers' failure to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.
